The copyright in all works of authorship created pursuant to this agreement are owned by hxr404. All such works or portions of works created by Developer are “works made for hire” as defined in 17 U.S.C. § 201. Developer assigns to Clients all right, title, and interest in:
- The copyright to all works of authorship (“Work”) and contribution to any such Work (“Contribution”) created pursuant to this agreement;
- Any registrations and copyright applications, along with any renewals and extensions thereof, relating to the Contribution or the Work;
- All works based upon, derived from, or incorporating the Contribution or the Work;
- All income, royalties, damages, claims and payments now or hereafter due or payable with respect to the Contribution or the Work;
- All causes of action, either in law or in equity, for past, present, or future infringement of copyright related to the Contribution or the Work, and all rights corresponding to any of the foregoing, throughout the world.
This Non Disclosure Agreement is still a work in progress, it may be changed at any time.
The "hxr404 Proprietary Developer License" is a proprietary license for software and other kinds of works, specifically designed to enable cooperation with trusted Developers, while ensuring that no intellectual property is stolen.
"This License" refers to the latest Version of hxr404 Propritary Developer License.
"Copyright" also means copyright-like laws that apply to other kinds of works, such as semiconductor masks.
"The Program" or "Software" refers to any copyrightable work licensed under this License. Each licensee is addressed as "you". "Licensees" and "recipients" may be individuals or organizations.
To "modify" a work means to copy from or adapt all or part of the work in a fashion requiring copyright permission, other than the making of an exact copy. The resulting work is called a "modified version" of the earlier work or a work "based on" the earlier work.
A "covered work" means either the unmodified Program or a work based on the Program.
To "propagate" a work means to do anything with it that, without permission, would make you directly or secondarily liable for infringement under applicable copyright law, except executing it on a computer or modifying a private copy. Propagation includes copying, distribution (with or without modification), making available to the public, and in some countries other activities as well.
The "source code" for a work means the preferred form of the work for making modifications to it. “Object code” means any non-source form of a work.
In consideration of all terms and conditions contained within this contract the Licensee shall have the nonexclusive and nontransferable rights as stated below.
- The Licensee will temporarly hold the right to view the source code on Github and to store a local copy on the Licensee's device. Its the Licensee's responsibilty to make sure no third-party has access to this copy.
- Furthermore, the Licensee will have the ability to install and use the code unless this agreement is terminated.
Unless prior written consent has been obtained from hxr404, the following shall not be allowed.
- The distribution of any source codes, header files, make files, libraries, or any other parts of the software.
- The software should not be merged, compiled, or copied unless expressed in this agreement.
- Alteration or removal of any notices in or on the software or within the documentation included within the software.
- Any distribution of the software by the Licensee that is not conducted with approval from the Software Provider.
- Disclosure of any source codes pertaining to the software to any additional parties not included in this agreement.
- The Licensee shall not disassemble, decompile or reverse engineer any object code contained within the software.
- The number of licenses being used may at no point and time be more than the number of licenses purchased through this agreement.
The Licensee shall not (i) disclose to any third party the business of hxr404, details regarding the Software, including any information regarding the Software’s code, the Specifications, or hxr404’s business (the “Confidential Information”), (ii) make copies of any Confidential Information or any content based on the concepts contained within the Confidential Information for personal use or for distribution unless requested to do so by hxr404, or (iii) use Confidential Information other than solely for the benefit of hxr404.
The Parties acknowledge and agree that hxr404 will hold all intellectual property rights to the Software including, but not limited to, copyright and trademark rights. You agree not to claim any such ownership in the Software’s intellectual property at any time prior to or after the completion and delivery of the Software
The Licensee agrees to display an appropriate copyright notice in any versions of the Software.
The Developer agrees to the following warrant conditions:
- Development and delivery of the Software under this Agreement are not in violation of any other agreement that the Developer has with another party.
- The Software will not violate the intellectual property rights of any other party.
No employer/employee relationship is implied or established through this source code agreement. Both parties shall remain fully independent business entities at all times.
While the term of this agreement may be perpetual, this agreement may be terminated immediately by hxr404 at any time, for any reason. In the event of termination the Licensee must destroy any and all copies of the Software as well as the included documentation or any other related works.
Hxr404 may publish revised and/or new versions of this License at any time. Older Version of this License are automatically terminated.
The Licensee agrees to indemnify, defend, and to hold hxr404 harmless as well as protect hxr404 from and against any and all lawsuits, damages, liabilities and costs of every kind pertaining to the software, including but not limited to providing reasonable legal fees due to the Developer’s infringement of the intellectual rights of any third party.
Both parties agree that direct monetary damages may not be the sole extent of damages related to a breach of this source code license agreement. Therefore, each party agrees a breach in this agreement by the Licensee will allow the Software Provider to seek additional relief from the Licensee.
THERE IS NO WARRANTY FOR THE PROGRAM, TO THE EXTENT PERMITTED BY APPLICABLE LAW. EXCEPT WHEN OTHERWISE STATED IN WRITING THE COPYRIGHT HOLDERS AND/OR OTHER PARTIES PROVIDE THE PROGRAM "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PROGRAM IS WITH YOU. SHOULD THE PROGRAM PROVE DEFECTIVE, YOU ASSUME THE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.
Hxr404 shall not be obligated under this Agreement to provide any further support or assistance to the Licensee.
IN NO EVENT UNLESS REQUIRED BY APPLICABLE LAW OR AGREED TO IN WRITING WILL ANY COPYRIGHT HOLDER, OR ANY OTHER PARTY WHO MODIFIES AND/OR CONVEYS THE PROGRAM AS PERMITTED ABOVE, BE LIABLE TO YOU FOR DAMAGES, INCLUDING ANY GENERAL, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE PROGRAM (INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR DATA BEING RENDERED INACCURATE OR LOSSES SUSTAINED BY YOU OR THIRD PARTIES OR A FAILURE OF THE PROGRAM TO OPERATE WITH ANY OTHER PROGRAMS), EVEN IF SUCH HOLDER OR OTHER PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
If the disclaimer of warranty and limitation of liability provided above cannot be given local legal effect according to their terms, reviewing courts shall apply local law that most closely approximates an absolute waiver of all civil liability in connection with the Program.
