Restricted Modification and Distribution - Collaborative Software License - Version 1.1 (RMD-C 1.1)
1. Preamble
This license applies to any software distributed where the copyright holder specifies that it is subject to the terms of this license (hereinafter referred to as the "license").
2. Disclaimer
In the event of any inconsistency or conflict between the English plain text version of this license and any translated or formatted version (e.g., Markdown), the English plain text version shall take precedence and govern the interpretation, enforcement, and application of this license. Any disputes arising from such inconsistencies or conflicts shall be resolved based on the English plain text version.
3. Definitions
- "license": this entire license agreement, including all sections and the information in the preamble;
- "licensor": the copyright holder of the software, or any person duly authorized by them to grant this license, as specified in the preamble of this license;
- "country of jurisdiction": the country specified in the preamble of this license;
- "contribution": any original software, or part of original software submitted and intended to be incorporated into the software;
- "distribution": the act of delivering a copy of the software;
- "licensee": any person who possesses a copy of the software and accepts the terms of this license;
- "contributor": any licensee who submits a contribution to the software;
- "software": the work protected by copyright and subject to the terms of this license.
- "code": the software made available under this license, including any part of it and any derivative of it;
- "review": to access, analyze, test and otherwise review the code as a reference, for the sole purpose of analyzing it for defects.
- "fork": a copy of the software created through a collaborative development platform, subject to the same conditions as the original software
- "development platform": online service enabling source code hosting and management (e.g., GitHub, GitLab)
4. Granted Rights
Subject to compliance with the conditions set forth in this license, the licensor grants the licensee the following non-exclusive rights:
a) Use the software;
b) Modify the software, provided that the modifications are submitted to the licensor, only for the purpose of review and possible incorporation into the original project;
c) Distribute copies of the software, unmodified or modified by itself or another licensee, only if expressly authorized in writing by the licensor.
5. Conditions
The licensee must comply with the following conditions to exercise the rights granted by this license:
a) Retain copyright, trademark, license and other proprietary notices on all copies of the software, without altering them;
b) Provide the licensor with a copy of any modifications made to the software, along with a clear description of the modifications;
c) Accept, for any modification made, that it is subject to the same conditions as the software;
d) Obtain the prior written authorization of the licensor before distributing copies of the software;
e) Not sublicense or sell copies of the software or any part of it without the licensor authorization.
6. Limitation of Liability
The software is provided "as is", without any express or implied warranties of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. In no event shall the licensor be liable for any claim, damages, or other liability, whether in an action of contract, tort, or otherwise, arising from, out of, or in connection with the software or the use or other dealings in the software. The licensee bears all risks associated with the use of the software.
7. Termination
This license terminates automatically in case of non-compliance with any of its conditions. In this case, the licensee must cease all use, modification, and distribution of the software.
8. Applicable Law and Jurisdiction
a) This license and any dispute arising from or in connection with it shall be governed by and construed in accordance with the laws of the country of jurisdiction, without regard to its conflict of law principles.
b) Any disputes relating to the software, this license, its performance, breach, termination, enforceability, or interpretation shall be exclusively subject to the jurisdiction of the courts located in the country of jurisdiction.
c) The licensee agrees to comply with all local and international laws and regulations applicable, including, but not limited to, copyright, export control, privacy, and data protection laws.
d) The licensee shall ensure that any distribution of the software to individuals or entities outside of the country of jurisdiction complies with all relevant international laws and regulations.
9. Patents and Intellectual Property
a) Patent Grant: Each contributor hereby grants a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to use the contributions within the software.
b) Patent Retaliation: If a licensee institutes patent litigation alleging that the software infringes a patent, then any patent licenses granted to that licensee under this license for that software shall terminate as of the date such litigation is filed.
c) No Other Rights: No rights or licenses to trademarks, trade secrets, or any other intellectual property are granted under this license.
10. Contribution License Agreement (CLA)
a) Compliance: Only licensees in full compliance with the terms of this license are permitted to submit contributions to the software. The submission of a contribution, in any form, implies automatic acceptance of all conditions of this license.
b) Grant of Copyright License: By submitting a contribution, the contributor automatically grants to the licensor a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable copyright license, including all moral rights to the extent permitted by applicable law.
c) Third Party Rights: The contributor represents that they are legally entitled to grant the above license and that the contribution does not violate any third-party rights, including intellectual property rights.
d) Viral Clauses: Contributions must not contain any viral clauses or code subject to viral licenses (e.g., GPL, AGPL) that would require the software to be distributed under a specific license or impose additional restrictions on the software.
e) Contributions "As Is": Contributions are provided without warranties of any kind.
f) Forks: The existence of a fork does not in itself constitute a violation of this license provided that the fork complies with all conditions of this license.
11. External Components
a) If the software includes components under other licenses, the terms of those licenses apply to these components only to the extent they do not conflict with the licensor's rights over the main software.
b) The licensee acknowledges and agrees to comply with all license obligations that may apply to the software.
12. Severability and Miscellaneous
a) This license constitutes the entire agreement between the licensor and the licensee regarding the software. It supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the software or any other subject matter covered by this license.
b) If any provision of this license is held to be void, invalid, unenforceable, or illegal, the other provisions shall remain in full force and effect.
c) This license may not be modified or waived except in a writing signed by the licensor.
13. Modifications to License Terms
The licensor reserves the right to modify, suspend, or terminate this license or any access to the code at any time, without notice, for any reason or no reason, in respect of any licensee, group of licensees, or all licensees.
14. Survival
Notwithstanding the termination of this license for any reason, the following provisions shall survive and continue to be binding upon the parties: Section 6 (Limitation of Liability), Section 8 (Applicable Law and Jurisdiction), Section 9 (Patents and Intellectual Property), and this Section 14 (Survival).
15. Final Provisions
By using, modifying, or distributing the software, the licensee acknowledge that he has read and understood this license and agree to be bound by its terms.
