Diffusion Studio Commercial License

Version 1.0

This Commercial License Agreement ("Agreement") is made between you ("Licensee") and Diffusion Studio Inc. ("Licensor"). By obtaining, downloading, installing, or using the Software, Licensee agrees to be bound by the terms of this Agreement.

1. **Grant of License**  
   Subject to payment and compliance with this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, worldwide right to use, modify, and distribute the Software **for commercial purposes**.

2. **Commercial Use Definition**  
   Commercial use includes, but is not limited to:  
   a. Using the Software in a product, service, or project that generates revenue (directly or indirectly).  
   b. Using the Software in internal business operations of a for-profit organization.  
   c. Any deployment of the Software in a manner that provides financial gain.

3. **Modifications and Optimization**  
   Licensee may modify, compress, minify, or otherwise optimize the Software **only for deployment purposes**, provided that all License notices remain intact.

4. **License Fee**  
   The Licensee must purchase a Commercial License from Diffusion Studio. Pricing and licensing tiers are available at:

5. **License Compliance**  
   a. Licensee must retain the original License notice in any distribution.  
   b. Proof of purchase must be available upon request by Licensor.  
   c. Licensor reserves the right to audit compliance with this Agreement.

6. **Restrictions**  
   a. **No Resale or Redistribution**: Licensee may not sell, sublicense, or otherwise transfer the Software except as integrated into a larger product or service.  
   b. **No Unauthorized Use**: Licensee may not use the Software in violation of any applicable laws.  
   c. **No Attribution Removal**: The License notice must be included in any final product delivered to end-users.

7. **Support & Updates**  
   Commercial License holders are entitled to updates and support as outlined in their specific licensing tier.

8. **Termination**  
   Licensor may terminate this Agreement if Licensee fails to comply with any of the terms herein. Upon termination, all rights granted under this Agreement will cease.

9. **Liability Disclaimer**  
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY. LICENSOR IS NOT LIABLE FOR ANY DAMAGES RESULTING FROM ITS USE.

10. **Governing Law**  
   This Agreement shall be governed by the laws of Delaware, USA.
